Terms of Service

1. Acceptance of Terms

By accessing and using Avenly, you accept and agree to be bound by the terms and provision of this agreement. In addition, when using these particular services, you shall be subject to any posted guidelines or rules applicable to such services.

2. Description of Service

Avenly provides users with tools to plan, organize, and manage events. You are responsible for obtaining access to the Service and that access may involve third-party fees (such as Internet service provider or airtime charges).

3. Plans and Payments

Avenly offers three plans. Current prices are shown on our pricing page and at checkout.

• Free, with the limits in section 4.
• Event Premium, a one-time purchase that covers one event. You can change that event's date until the event has happened, then the date is locked. An event has happened once its event day has passed, its first guest is checked in, or you set it live, whichever comes first.
• Pro, a monthly or yearly subscription that renews automatically until you cancel. Cancelling takes effect at the end of the period you have paid for.

4. Plan Limits and Fair Use

Each plan has the limits below. Guest limits include vendors.

• Free: 30 guests per event; 3 active events at once; 25 files and 250 MB of media and gallery storage per event; 200 photo-wall uploads per event, with videos up to 50 MB; 10 AI floor-plan detections per event.
• Event Premium: unlimited guests; 1 GB of storage with no file limit; 2,000 photo-wall uploads, with videos up to 200 MB.
• Pro: every event you own gets Event Premium limits, subject to fair use: 25 active events at once, and 20 GB of storage per event, up to 200 GB across all your events.

An event you own is active from when it is created until 30 days after its event date. An event with no date is always active. Events with Event Premium don't count towards the Free limit. When you reach a limit, you can keep using what you already have, but we may refuse new guests, uploads or events beyond it. Hourly limits on AI detections apply on every plan. 5. Event Links

You can change your event link as often as you like until guests have it: when a guest opens their invitation, an RSVP arrives, or you mark an invitation as sent. After that, you can change it once. Old links forward to the new one, and each old link stays reserved for your event until 12 months after the event date, or until you delete the event. We keep at most 3 old links per event. Further changes, and changes to a locked date, need a request to [email protected].

6. When Pro Ends

Pro ends when you cancel and your paid period is over, or when a renewal payment finally fails. We never delete anything because Pro ended.

• Events whose date passed while you were on Pro keep Pro limits and Pro features permanently.
• Upcoming events, and events with no date, keep Pro until the end of your paid period, then move to the Free plan.
• Events you bought Event Premium for keep Event Premium.

An event that moves to Free keeps everything it already has, but new guests and uploads beyond the Free limits are refused. If its gallery was already shared, the 30 days in section 7 start at the end of your paid period.

7. Galleries and Photo Walls on Free Events

• Gallery: a free event's gallery stays online for 30 days from the first time you turn on sharing. You agree to this before sharing it. Turning sharing off and on again doesn't restart the 30 days. After 30 days, guest links go offline. You can still view and download the gallery for 12 months, after which its files are deleted.
• Photo wall: files uploaded to a free event's photo wall are deleted 12 months after the event date. If that date is less than 30 days after your Pro ended, they are deleted 30 days after Pro ended instead.

Galleries that were already shared, and photo walls of events that had already taken place, when these rules took effect are not affected.

8. Warnings and Deletion

We email the event owner 7 days and 1 day before a gallery goes offline, and 7 days and 1 day before any files are deleted. Deletion never happens sooner than 7 days after our first warning. Until then you can download everything, and buying Event Premium for the event brings its gallery back online and cancels the deletion. Deleted files can't be recovered.

9. Registration and Account Security

To use certain features of the Service, you may be required to register for an account. You agree to:

• Provide accurate, current and complete information about yourself.
• Maintain and promptly update your account information.
• Maintain the security of your password and identification.
• Accept all risks of unauthorized access to the Registration Data and any other information you provide to us.

10. User Conduct

You agree not to use the Service to:

• Upload, post, email or otherwise transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically or otherwise objectionable.
• Impersonate any person or entity, including, but not limited to, an Avenly representative.
• Upload, post, email or otherwise transmit any content that you do not have a right to transmit under any law or under contractual or fiduciary relationships.

11. Termination

You agree that Avenly may, under certain circumstances and without prior notice, immediately terminate your Avenly account and access to the Service. Cause for such termination shall include, but not be limited to, breaches or violations of the Terms of Service or other incorporated agreements or guidelines.
